One of the biggest recent transformations of the entertainment industry is close to being completed. Paramount Skydance and Warner Bros. Discovery will create a conglomerate that will use Skydance as its corporate identity.
The completion of the operation is scheduled for October 6, 2026, provided that the final conditions provided for in the agreement are met. Approximately $110 billion, the transaction puts under the same command world-renowned studios, television channels, streaming services and franchises.
The new company will have David Ellison at the helm and will bring together assets that today hold important positions in the global media market.
HBO Max and Paramount+ will be in the same group
For those who watch movies and series on the internet, one of the main changes involves HBO Max and Paramount+.
The two platforms will become part of the same company and the strategy presented by the administration provides for the combination of the services in a single platform.
No details have yet been released about when this integration will reach the different markets, what plans will be available or how the billing will be for current subscribers.
The change, however, could reduce the fragmentation of catalogues and create a service with considerably greater volume of productions.
A catalogue of weight
The size of the new company also draws attention to the number of brands gathered.
On the side of Warner Bros. Discovery are properties such as DC, Harry Potter, Game of Thrones and various productions of HBO and Warner Bros. Paramount adds titles linked to universes such as Mission: Impossible, Star Trek and Yellowstone, among others.
The operation also puts under the same structure major television brands, including CBS and CNN, as well as channels and operations associated with the two companies.
Despite the adoption of the Skydance name for the conglomerate, the intention is to preserve the Paramount and Warner Bros. brands in the business in which they already have strong public recognition.
Why will the group be called Skydance?
The choice seeks to separate the identity of the controller from the brands used by the group’s studios and services.
David Ellison has indicated that Paramount and Warner Bros. will continue to have prominence of their own, while Skydance will function as the institutional identity of the company that will be above these operations.
Ellison founded Skydance and gained space in Hollywood with participation in the production of great films. The company has been involved in projects such as Top Gun: Maverick and Mission: Impossible franchise titles.
With the acquisition of Warner Bros. Discovery, the structure commanded by the executive assumes a much larger dimension.
Fusion faced questions in the Estados Unidos
The path to completion of the deal involved extensive regulatory analysis in different countries.
Paramount said it had obtained necessary authorizations in dozens of markets, including Brazil, the European Union and the United Kingdom.
At Estados Unidos, however, a coalition of 12 states disputed the acquisition on the basis of competition concerns.
An agreement subsequently approved by the court allowed the operation to progress and established commitments involving, among other points, film production and the journalistic structures of CBS News and CNN.
As a result, the transaction was scheduled to close on October 6.
Debt will be one of the challenges
Having a giant catalog does not mean that the new company will start its trajectory without obstacles.
After the transaction, the group is expected to carry approximately $79 billion in net debt, according to information previously presented by Paramount.
The administration is also working with the expectation of achieving more than US$ 6 billion in savings and synergies during the integration of companies.
This process may involve reorganization of structures, technology, content distribution and different administrative areas.
And for whom do you subscribe streaming in Brazil?
The consequences should not all appear at once.
HBO Max and Paramount+ will continue to operate during the transition process, as the company defines how the integration of operations and services will take place.
Important issues still need to be detailed, such as the name of the future platform, prices, subscription plans, launch by country and destination of current contracts.
On the other hand, the union puts some of the largest catalogs of world entertainment within the same company.
For the market, it is another sign that the so-called streaming war is entering a different stage: after years of creating new platforms, the giants of the sector are now looking for scale, cost reduction and profitability.
Starting in October, Skydance will take a central position in this dispute.
